Terms and Conditions for Vendors

This Vendor Agreement (“Agreement”) is entered into by and between Anantriksh – A brand by Goodeals E-Shop Pvt. Ltd. (“Company,” “We,” “Us,” or “Our”), and the Vendor (“Vendor,” “You,” or “Your”).

By registering as a vendor on https://anantriksh.com/, accessing or using any part of the Company’s platform, or submitting products for sale, You agree to be bound by these Terms and Conditions. If You do not agree to all the terms and conditions of this Agreement, You may not register as a vendor or sell products through Our platform.

1. Definitions

  • Platform: Refers to the e-commerce website and associated services operated by the Company.
  • Products: Refers to the goods, merchandise, or services offered for sale by the Vendor on the Platform.
  • Customer: Refers to an end-user who purchases Products from the Vendor through the Platform.
  • Listing: Refers to the display of Products on the Platform, including descriptions, images, pricing, and other relevant information.

2. Vendor Registration and Account

2.1. To become a Vendor, You must complete the registration process on the Platform and provide accurate, complete, and current information as requested. 

2.2. You are responsible for maintaining the confidentiality of Your account login information and for all activities that occur under Your account. 

2.3. The Company reserves the right to approve or reject any vendor application at its sole discretion. 

2.4. You agree to update Your account information promptly to keep it accurate and complete.

3. Product Listings and Content

3.1. Accuracy of Listings: You are solely responsible for the accuracy, completeness, and legality of all Product listings, including descriptions, images, pricing, and availability. 

3.2. Product Quality: All Products offered for sale must be of high quality, free from defects, and conform to the descriptions provided in the listings. 

3.3. Intellectual Property: You warrant that You own all intellectual property rights (including copyrights and trademarks) for the Products and content You list, or that You have obtained all necessary licenses or permissions to use and display such intellectual property on the Platform. You agree to indemnify the Company against any claims of intellectual property infringement. 

3.4. Prohibited Products: You agree not to list or sell any Products that are illegal, infringe upon the rights of others, are harmful, offensive, or violate the Company’s Prohibited Items Policy [Link to Prohibited Items Policy]. 

3.5. Pricing: You are responsible for setting the prices for Your Products. You agree that the prices listed by you while adding a new product at the vendor portal will be final and inclusive of all applicable taxes, unless otherwise specified. 

3.6. Inventory Management: You are responsible for maintaining accurate inventory levels and updating Product availability promptly.

4. Order Fulfillment and Shipping

4.1. Order Acceptance: Upon receipt of an Order, You agree to fulfill the Order promptly and efficiently. 

4.2. Shipping: You are solely responsible for packaging Products and making them available to the delivery partner in a timely and secure manner. You must comply with the Company’s shipping guidelines and timelines [Link to Shipping Guidelines]. 

5. Payments and Commissions

5.1. Payment Processing: We will process payments from Customers to You. You are not permitted to accept any payments from customers directly.

5.2 Payment Schedule: Payments to the Vendor will be made on a monthly basis, according to the payment schedule outlined in Your Vendor Dashboard. 

5.3. Taxes: You are solely responsible for all taxes, duties, and other governmental assessments associated with the sale of Your Products.

6. Returns, Refunds, and Customer Service

6.1. Return Policy: You agree to adhere to the Company’s Return and Refund Policy [Link to Company’s Return and Refund Policy]. 

6.2. Customer Service: You are responsible for providing prompt and effective customer service for all inquiries related to Your Products, including pre-sale questions, order status, and post-sale support. 

6.3. Disputes: In the event of a customer dispute, You agree to cooperate with the Company to resolve the issue amicably and in accordance with the Company’s policies.

7. Performance Standards

7.1. Service Level Agreement (SLA): You agree to meet the Company’s performance standards, including but not limited to, [e.g., order fulfillment timeframes, customer response times, defect rates, cancellation rates]. Failure to meet these standards may result in penalties, account suspension, or termination. 

7.2. Compliance: You agree to comply with all applicable laws, regulations, and industry standards related to the manufacturing, labeling, sale, and distribution of Your Products.

8. Confidentiality

8.1. You may gain access to confidential information of the Company or its Customers. You agree to keep such information strictly confidential and not to disclose it to any third party or use it for any purpose other than fulfilling Your obligations under this Agreement.

9. Indemnification

9.1. You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: * Your breach of this Agreement. * Your Products, including any claims of product liability, intellectual property infringement, or misrepresentation. * Your negligence or willful misconduct. * Your failure to comply with applicable laws or regulations.

10. Limitation of Liability

10.1. In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with this Agreement or the use of the Platform, even if the Company has been advised of the possibility of such damages. 

10.2. The Company’s total liability to You for any and all claims arising out of or in connection with this Agreement shall not exceed the total amount of product price mentioned by You to the Company in the 6 months preceding the claim.

11. Term and Termination

11.1. Term: This Agreement shall commence upon Your acceptance of these Terms and Conditions and shall continue until terminated by either party. 

11.2. Termination by Vendor: You may terminate this Agreement at any time by providing 30 days written notice to the Company. 

11.3. Termination by Company: The Company may terminate this Agreement, suspend Your account, or remove Your listings at any time, with or without cause, by providing 7 days’ written notice, or immediately without notice if: * You breach any material term of this Agreement. * You engage in fraudulent or illegal activities. * Your actions negatively impact the Company’s reputation or the integrity of the Platform. 

11.4. Effect of Termination: Upon termination, Your right to sell Products on the Platform will cease. Any outstanding payments will be processed according to the payment schedule, and You will be responsible for fulfilling any pending Orders.

12. Governing Law and Dispute Resolution

12.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. 

12.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through Indian Law.

13. Miscellaneous

13.1. Entire Agreement: This Agreement constitutes the entire agreement between You and the Company regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. 

13.2. Amendments: The Company reserves the right to modify or update these Terms and Conditions at any time. We will notify You of any material changes by posting the updated terms on the Platform or by email. Your continued use of the Platform after such modifications constitutes Your acceptance of the revised terms. 

13.3. Waiver: The failure of the Company to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision. 

13.4. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 

13.5. Relationship of Parties: The relationship between the Company and the Vendor is that of independent contractors. Nothing in this Agreement shall be construed as creating a partnership, joint venture, employment, or agency relationship. 

13.6. Notices: All notices or other communications required or permitted under this Agreement shall be in writing and delivered personally, by certified mail, or by email to the addresses provided by each party.

By clicking “I Agree” or by continuing to use the Platform as a Vendor, You acknowledge that You have read, understood, and agree to be bound by these Terms and Conditions.
